Person A tells Person B that they would like to order two cubic metres of firewood. Person B replies that they can supply two cubic metres of beech firewood at a price of €100.00 per cubic metre. Person A responds that it is agreed, but asks for delivery of spruce firewood instead.

Is a sales contract concluded in this case? Are Persons A and B bound to any performance? Can Person B claim payment of the purchase price from Person A?

These questions are answered by the rules of contract law, which, among other things, determine when and under what conditions a contract is validly concluded and establish the essential elements of a sales contract that require the mutual consent of the contracting parties.

This work is divided into two parts: the general part and the special part. The general part deals with certain aspects of the general principles of contract law, namely the fundamental concepts of contract law, the characteristics and types of contractual obligations, the fundamental principles of contract law, methods of concluding contracts, conditions for the valid conclusion of a contract, conditions, deadlines, securing obligations, contracting through an agent or representative, invalidity of contracts, termination or modification of a contract due to changed circumstances, termination of obligations, limitation periods, preclusion, and monetary and joint obligations.

The special part provides a detailed presentation of specific types of contracts, focusing on those most common in business practice. At the end of most chapters, there are exercises, usually designed as questions based on specific cases. Their purpose is to strengthen the ability to apply the theoretical knowledge acquired regarding the fundamental legal concepts and institutions of contract law – knowledge that students of the University of Nova Gorica are also expected to acquire within the course Contract Law and Intellectual Property Law – to concrete examples. By solving practical problems, students will more easily identify and understand the role and importance of contract law in the business environment and contemporary society.
